Terms of Service

1. Acceptance of Terms

By accessing or using AERIOX Studio or aeriox.co (the "Platform"), operated by AERIOX LLC ("AERIOX," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and AERIOX LLC, a Florida limited liability company headquartered in Jupiter, Florida.

2. Account Registration & Eligibility

To use AERIOX Studio, you must create an account. By registering, you represent that:

• You are at least 13 years of age (or the minimum age required in your jurisdiction).
• If you are between 13 and 18, you have obtained parental or guardian consent.
• The information you provide during registration is accurate, current, and complete.
• You will maintain and update your account information as needed.
• You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

AERIOX reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are fraudulent.

3. Subscription Plans & Billing

AERIOX Studio offers the following subscription tiers:

• Explorer (Free) — Limited access to core features with a starter credit allocation.
• Starter — Expanded credit allocation, access to additional AI models, and priority queue.
• Creator — Higher credit allocation, access to all models, batch generation, and publishing tools.
• Studio — Maximum credits, team collaboration, dedicated support, and full platform access.

Paid subscriptions are billed monthly or annually in advance through Stripe. Annual plans include a discount as displayed on the pricing page. You authorize us to charge your payment method on file at the beginning of each billing cycle.

You may upgrade, downgrade, or cancel your subscription at any time. Downgrades and cancellations take effect at the end of the current billing period. No prorated refunds are issued for mid-cycle cancellations.

4. Credit System

AERIOX Studio uses a credit-based system for AI-powered generation features. Credits are consumed when you use image generation, video generation, audio synthesis, and other AI services.

• Credit value: 1 credit = $0.05 USD.
• Pricing formula: Credit costs per operation are calculated as the underlying API cost multiplied by 1.67, rounded to the nearest credit. The full credit rubric is published on our pricing page.
• Credit bundles: Additional credits may be purchased as one-time bundles at any time.
• Expiration: Monthly subscription credits roll over within your tier's rollover cap each billing cycle while your subscription is active, and expire at the end of the paid-through period if your subscription is canceled. Purchased credit bundles never expire — they remain spendable indefinitely, including after a subscription ends.

5. Content Ownership

Your content is yours. You retain full ownership of all content you create using AERIOX Studio, including scripts, images, videos, audio, and any other generated materials.

By using the Platform, you grant AERIOX a limited, non-exclusive, worldwide, royalty-free license to store, process, display, and transmit your content solely for the purpose of operating the Platform and providing the service to you. This license terminates when you delete your content or close your account.

You are free to use your generated content for personal, commercial, and any other lawful purpose, subject to the restrictions in Section 7.

6. AI-Generated Content Disclaimer

AERIOX Studio uses artificial intelligence models from third-party providers to generate content. You acknowledge that:

• AI-generated content is not guaranteed to be original, unique, or free from similarity to existing works.
• You are solely responsible for ensuring that your use of generated content complies with applicable intellectual property laws, including copyright and trademark laws.
• AERIOX does not claim ownership of AI-generated outputs but also does not guarantee that such outputs do not infringe on the rights of others.
• AI models may produce unexpected, inaccurate, or biased results. You should review all generated content before use.
• The availability and performance of third-party AI models are subject to change without notice.

7. Prohibited Use

You agree not to use AERIOX Studio to create, generate, store, or distribute:

• Explicit or NSFW content — Sexually explicit, pornographic, or adult-only material.
• Deepfakes — Realistic depictions of real people without their explicit consent, including face-swapping and voice cloning of identifiable individuals.
• Harassment and abuse — Content intended to bully, threaten, intimidate, or harass any individual or group.
• Impersonation — Content designed to impersonate another person, brand, or organization for deceptive purposes.
• Illegal content — Material that violates any applicable law, including content related to child exploitation, terrorism, fraud, or incitement to violence.
• Spam and manipulation — Automated generation of content for spamming, astroturfing, or manipulating public discourse.
• Misinformation — Deliberately false or misleading content intended to deceive.

Violations may result in content removal, account suspension, or permanent termination.

8. Content Moderation

AERIOX employs automated content screening systems to detect prohibited content at the point of generation. All generated content passes through safety filters before being delivered to users. We reserve the right to:

• Block the generation of content that violates our policies.
• Remove previously generated content that is later found to be in violation.
• Report illegal content to appropriate law enforcement authorities.
• Implement additional moderation measures as needed to maintain platform safety.

9. Free Features

The following features are permanently free and do not consume credits:

• Script Studio — Full access to the 7-agent scriptwriting system, including story development, character creation, scene structuring, dialogue generation, and visual planning.
• Brand DNA — Brand analysis, voice definition, and brand asset management.

AERIOX commits to keeping Script Studio free for all users indefinitely. Any future change to this policy will be communicated with at least 90 days of advance notice.

10. Refund Policy

• Credit errors: If a system error causes incorrect credit deduction, we will refund the affected credits within 24 hours of confirming the error.
• Dispute window: You have 60 days from the date of a transaction to dispute a charge or credit deduction.
• Subscription refunds: Subscription fees are non-refundable except where required by applicable law. If you cancel mid-cycle, you retain access through the end of the billing period.
• Credit bundle refunds: Unused credit bundles may be refunded within 14 days of purchase, provided no credits from the bundle have been consumed.

11. Pricing Changes

AERIOX commits to providing at least 30 days' advance notice before any pricing changes take effect. Notification will be sent via email and displayed prominently within the Platform. Price changes do not affect the current billing cycle of existing subscribers.

12. Account Termination

You may delete your account at any time through your account settings. Upon deletion:

• Your personal data will be removed in accordance with our Privacy Policy.
• Your generated content will be permanently deleted within 30 days.
• Any remaining credits or active subscription will be forfeited.

AERIOX may terminate your account immediately if you materially breach these Terms, engage in prohibited use, or pose a security risk to the Platform.

13. Limitation of Liability

To the maximum extent permitted by applicable law, AERIOX LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Platform.

AERIOX's total aggregate liability arising from or relating to these Terms or your use of the Platform shall not exceed the greater of (a) the amount you paid to AERIOX in the 12 months preceding the claim, or (b) one hundred dollars ($100).

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Indemnification

You agree to indemnify, defend, and hold harmless AERIOX LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your content, or your violation of these Terms.

15. Dispute Resolution

Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Palm Beach County, Florida.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against AERIOX.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts located in Palm Beach County, Florida.

17. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email and/or a prominent notice on the Platform at least 30 days before they take effect. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
